Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Freddia platform, websites, and services (collectively, the "Service") provided by Freddia Ltd, a company registered in Malawi ("Freddia", "we", "us", or "our"). By signing up for or using the Service, you agree to be bound by these Terms.

2. The Service

Freddia provides a cloud-based software-as-a-service (SaaS) platform for accounting, bookkeeping, human resources, and payroll management, tailored for businesses operating in Malawi. Features include, but are not limited to: chart of accounts management, invoicing, expense tracking, bank reconciliation, payroll processing, leave management, and MRA EIS integrations.

3. User Obligations

  • You must provide accurate, current, and complete information when creating your account and keep it up to date.
  • You are responsible for all activity that occurs under your account and for keeping your login credentials secure.
  • You must not share your credentials with unauthorised parties or use the Service for any unlawful purpose.
  • You are solely responsible for the accuracy and completeness of the financial, payroll, and HR data you enter into the Service.

4. Data Ownership

You retain full ownership of all data you upload or generate within the Service ("Customer Data"). We act as a processor of your data on your behalf. You can export your Customer Data at any time from the Settings page. We will not sell your Customer Data or use it for marketing purposes.

5. MRA Compliance & Tax Responsibility

Freddia provides tools to help you prepare and submit filings to the Malawi Revenue Authority (MRA), including PAYE, VAT, and withholding tax computations, as well as EIS invoice transmission. However, you remain solely responsible for the accuracy, timeliness, and submission of your own tax filings and statutory obligations. Freddia is not a tax advisor and does not guarantee acceptance of any filing by the MRA.

6. Fees & Payment

Use of the Service may be subject to subscription fees as described on our pricing page. Fees are billed in advance and are non-refundable except where required by law. We reserve the right to change our fees upon reasonable notice.

7. Limitation of Liability

To the maximum extent permitted by Malawian law, Freddia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of (or inability to use) the Service. Our total aggregate liability under these Terms shall not exceed the fees you paid to Freddia in the twelve (12) months preceding the event giving rise to the claim.

The Service is provided on an "as is" and "as available" basis. While we take reasonable steps to ensure availability and accuracy, we do not warrant that the Service will be uninterrupted or error-free.

8. Termination

You may cancel your account at any time from the Settings page or by contacting us. We may suspend or terminate your account if you breach these Terms, fail to pay fees, or if required by law. Upon termination, you will have a reasonable grace period (typically 30 days) to export your Customer Data before it is permanently deleted.

9. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Malawi. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Malawi.

10. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, provide notice within the Service. Your continued use after such notice constitutes acceptance of the updated Terms.
